Supporter Terms

1. Parties

These terms are between Lindale Area Holdings LLC, a Texas limited liability company (“LAH”), and you, the supporter, who must be at least 18, an individual, or a business acting through an adult authorized representative.

2. The program

The Lindale Area Sports Complex community support program runs on lindalesc.com and is owned and operated by LAH. Recognition continues for at least 5 years after the program ends or while LAH or LASC maintains an official public website for the project.

3. Levels and recognition

Recognition is provided as described for your level on the Join page at the time of your payment.

4. Payment

Payment is one-time, non-recurring. Payment is generally non-refundable after LAH provides the recognition; the paid supporter whom LAH declines before providing recognition receives a refund. LAH may suspend or remove your listing while a payment dispute is open and may decline your support; a chargeback resolved in your favor ends your participation and LAH’s remaining recognition obligation to you. LAH will respond to any dispute with the record of your sign-up and acceptance of these terms.

5. Nature of the payment

Your payment is not a donation, is not tax-deductible, and is not an investment. It gives you no ownership, interest, share or return in LAH, LASC or the project. LAH is not a charitable organization. The program is separate from any securities offering by either company, and nothing in the program is an offer of securities.

6. Use of funds

Supporter payments are used for design, marketing, engineering, legal fees and similar costs incurred before LASC operations begin.

7. Approval and decline

Before LAH provides recognition, LAH may decline any supporter, listing or note for any purpose, and a declined paid supporter’s payment is refunded. After recognition is provided, LAH may remove material inconsistent with the community purpose or likely to cause legal, reputational or operational harm, and no refund is due.

8. Permission to publish

You grant LAH and Lindale Area Sports Complex LLC (“LASC”) and its affiliates, licensees, service providers and successors, a non-exclusive royalty free license to reproduce, display, resize, reformat and transmit the name, business name, logo, contact information or other materials you submit, and permission to publish your name as you wrote it and, for business levels, your business name, logo, website link and the contact information you chose to provide, on lindalesc.com and lindaleareaholdings.com and in LAH’s printed and electronic materials about the program, as described for your level, for as long as the program and the frozen supporter pages remain on the sites. You confirm that you own the logo or have the right to license it for this use and that its publication will not infringe anyone’s rights. You will indemnify LAH and Lindale Area Sports Complex LLC against any claim that your name, logo or link infringes a third party’s rights. You may withdraw this permission at any time by asking for your listing to be removed.

9. Program end and display

When the program ends, every level closes, including the free Community Supporter signup and club registration. The supporter pages are frozen and remain part of the site. If construction has not begun by 31 October 2030, the program ends at the end of that day, Lindale time, and the supporter pages are frozen as they stand; payments are not refunded. LAH may redesign the sites, move pages, or change domains; recognition continues on the sites as they exist from time to time, in substantially the form described for your level, but LAH does not promise a particular page, position, size or domain. Any listing is removed on its owner’s request at any time, including after the pages are frozen.

10. Diamond spotlight

The spotlight shows a Diamond business supporter’s logo and name, scrolling with the other Diamond supporters, on the home pages of lindalesc.com and lindaleareaholdings.com while the program runs. When the program ends, the spotlight moves to the Business Supporters page and remains there. No display counts, share of displays or visitor data are provided to supporters.

11. Business first option

After the program ends, LAH and Lindale Area Sports Complex LLC intend to offer advertising to Founding Supporter businesses before offering it to others: by level at the then-published rate, Diamond first, each level having two weeks before the offer passes to the next level, and after Bronze open to all, first come, first served. This is a courtesy notice of their intention. It is not a binding commitment, does not reserve inventory, and does not oblige LAH or Lindale Area Sports Complex LLC to offer advertising at all.

12. Supporter notes

You may write a note to LAH and Lindale Area Sports Complex LLC and, separately, a note to community decision makers (such as the economic development council, city council and city leaders). Notes are moderated. LAH may decline or edit for length any note for any purpose and is not obliged to deliver any note. By writing a note to decision makers you permit LAH to deliver it. Notes are delivered without your name unless you choose, in the form, to have your name included. A note delivered to a public body may become a public record under the Texas Public Information Act and may be disclosed by that body.

13. Communications and data

Your information is handled under the Privacy Policy at lindalesc.com/privacy/. Founding Supporters who opt in receive project status updates by email: Diamond and Platinum monthly; Gold, Silver and Bronze quarterly. Every email carries LAH’s postal address (P.O. Box 610, Lindale, Texas 75771) and an unsubscribe link; you may stop updates at any time without affecting your recognition.

14. Eligibility

You must be at least eighteen to pay, participate, submit a note, authorize a public listing or to have your name listed. A business supporter must be represented by an adult authorized to bind it.

15. General

LAH’s liability to you under these terms is limited to the amount you paid. These terms are governed by the laws of the State of Texas. The project is in the developmental stage and there are no project guarantees. LAH makes no warranty that the site, financing, approvals, final design, construction, completion or opening will occur. LAH does not warrant uninterrupted or error free website operation but will use commercially reasonable efforts to restore material outages. LAH may change these terms for future supporters by posting the new version on the site; the terms you accepted at checkout apply to your payment. You accept these terms by checking the acceptance box before payment; the record of that acceptance is kept by LAH.

16. Force majeure

LAH is not liable for delay or failure caused by disasters, severe weather, war, civil disturbance, governmental action, labor disruptions, utility failure, cyber attacks, internet or hosting failure, epidemic, third party provider failure, or other events beyond its reasonable control.

17. Assignment

You may not assign your rights without LAH’s express written consent.

18. Entire agreement

These Supporter Terms, the BEFORE YOU PAY disclosure, the level and recognition you selected as shown at checkout, and your payment confirmation together form the entire agreement between you and LAH.

19. No waiver

LAH’s failure or delay in enforcing any part of these terms is not a waiver of it.

20. Survival

Clauses 5, 8, 9, 12, 15, 16 and this clause continue after the program ends and after any removal of your listing.

21. Notices

Notices to LAH are sent to P.O. Box 610, Lindale, Texas 75771, or to contact@lindaleareaholdings.com. Notices to you are sent to the email address you gave at sign-up.

22. Venue

Any dispute is resolved in the state or federal courts serving Smith County, Texas.
